Starting a business

You have three main legal options for starting a business, which are a sole tradership (‘one-man band’), a partnership or a company.  Sole traderships are the easiest to set-up as there are no formal legal requirements.  However, liability will lie solely with the owner, putting personal assets and property at risk.  Partnerships are generally the same in these respects, although liability will be jointly shared.  The way the partnership is run and how liabilities and risk are distributed can be dictated by drafting a partnership agreement, making partnerships slightly more flexible.   Companies are the most difficult to set-up, although there is a separation between personal liability and the liability of the company so long as business is not recklessly carried out.

Terms and conditions of trading

Consumer and contract law can be unforgiving on businesses.  Failure to properly draft your terms may result in litigation and fines and a redraft of any terms could prove expensive if changes have to large number of documents needs to be made.  Avoid getting in costly and time-consuming disputes by making sure your terms are properly drafted from the first day of trading.

All too often, insufficient thought is given to the terms and conditions under which businesses sell products or services. We strongly advise that you make sure that your business has the right terms and conditions from day one.

Commercial property

Naturally, most businesses will require commercial premises of one sort or another.  We are happy to advise on you leases and all aspects of commercial property law in general.

Goods and services

Consumer laws provide consumers with wide-ranging protection.  It is vital to make sure you are compliant as this is an area that will attract unwanted publicity from the Office of Fair Trading and consumer watchdogs.  Make sure your contracts are properly drafted.  Understand what your product liability is.  Make sure you do not illegally advertise your products or services.  To make sure you are on the right side of the law, our Camden small business solicitors are here to help.
